These Terms of Service (“Terms”) govern your access to and use of the BPSWorkstation.com website and software-as-a-service platform (“Service”) operated by JMM Island Holdings LLC (“Company,” “we,” “our,” or “us”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• Customer or User: The company or individual that creates an account or purchases a subscription.
• Authorized Users: Employees or agents the Customer authorizes to access the Service.
• User Data: Data, records, or content uploaded or generated through the Service.

2. Service Description

BPSWorkstation.com is a cloud-based back-office operations management platform provided via subscription. Users can manage business processes, workflows, and related data through secure online access.

3. Accounts and Access

• Registration: You must create an account and provide accurate, complete information.
• Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Multi-User Access: Customers may assign seats to Authorized Users. The Customer remains responsible for all actions taken by them.

4. Subscriptions and Payments

• Plans: Service is provided through monthly, quarterly, or annual subscriptions.
• Billing: Fees are billed in advance and are non-refundable, except as required by law or expressly stated by JMM Island Holdings LLC.
• Auto-Renewal: Subscriptions automatically renew unless canceled prior to renewal.
• Taxes: All fees are exclusive of applicable taxes.
• Non-Payment: Failure to pay may result in suspension or termination of Service.

5. User Data and Privacy

• You retain full ownership of your User Data.
• We do not access, view, or use User Data except as necessary to maintain the Service.
• User Data may be stored securely in our systems or optionally linked to your external cloud services (e.g., Google Drive, OneDrive).
• Use of the Service is also subject to our Privacy Policy.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe on others’ intellectual property or privacy rights;
• Transmit malicious or harmful code;
• Attempt unauthorized access to the Service or related systems;
• Interfere with others’ use of the Service.

7. Data Security and Backups

JMM Island Holdings LLC maintains commercially reasonable safeguards, including:

• Daily encrypted database backups;
• HTTPS/TLS encryption for all data transmission;
• Access controls and restricted data handling;
• Support for user-controlled integrations with external cloud storage providers.

8. Support and Updates

We provide technical support via email or designated channels during normal business hours. Updates and feature improvements may be deployed automatically as part of your subscription.

9. Termination

• By You: You may cancel your subscription anytime; access continues through the paid term.
• By Us: We may suspend or terminate your account for non-payment or violation of these Terms.
• After Termination: You may export your User Data within a reasonable period. Certain obligations (data ownership, confidentiality, liability) survive termination.

10. Intellectual Property

All rights, title, and interest in the Service, including software, design, and documentation, are owned by JMM Island Holdings LLC. No license or ownership rights are transferred to you except as expressly granted.

11. Disclaimers and Limitations

The Service is provided “as is” and “as available.” JMM Island Holdings LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, JMM Island Holdings LLC is not liable for any indirect, incidental, special, or consequential damages, including data loss or business interruption. Our total aggregate liability is limited to the fees paid during the six (6) months preceding the claim.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the United States and the Commonwealth of Puerto Rico, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of San Juan, Puerto Rico.

13. Modifications

We may modify these Terms by posting an updated version on BPSWorkstation.com. The “Last Updated” date will reflect the most recent changes. Continued use after posting signifies acceptance of the new Terms.
